Agreement between Customer and Sound FX Audio (SFXAUDIO.COM)
The use of this site is governed by the policies, terms and conditions set forth below. Please read them carefully. Your use of this site indicates your acceptance of these terms and conditions. Your placement of an order indicates your acceptance of these terms and conditions. Your submittal of any purchase order to SFXAUDIO.COM indicates acceptance of these terms and conditions. These terms and conditions shall supercede any subsequent terms or conditions included with any purchase order, whether or not such terms or conditions are signed by SFXAUDIO.COM. SFXAUDIO.COM reserves the right to make changes to this site and these terms and conditions at any time.
Sound FX Audio Satisfaction Guarantee
SFXAUDIO.COM offers our customers a 15-day 100% satisfaction replacement or refund guarantee on all purchases EXCEPT:- All sales on any specially ordered or clearance (marked "CLEARANCE") items are final (no refund/exchange)
- Cable/wire may not be returned as it is custom cut
However, to take advantage of SFXAUDIO.COM's return guarantee policy, Customer agrees to comply with SFXAUDIO.COM's Product Return Policy as set forth below. Any breach of SFXAUDIO.COM's Return Policy Procedure will result in the loss of SFXAUDIO.COM's replacement/return guarantee. Furthermore, all return shipments not in compliance with these instructions will be rejected.
Product Return Policy
To return a product based upon SFXAUDIO.COM's replacement/return guarantee, you must email our customer service department service@sfxaudio.com and obtain a Return Merchandise Authorization ("RMA") number within the guarantee return period for the product (described above). SFXAUDIO.COM will not accept returns without prior authorization and an RMA number. Once issued, RMA numbers are valid for 15 days within which return products must be received by SFXAUDIO.COM. RMA numbers will not be extended or reissued. Customer should prominently display the RMA number(s) on the shipping label of boxes containing the returned product.
Customer is solely responsible for shipping any returned product to SFXAUDIO.COM. Customer agrees to use only reputable carriers capable of providing proof of delivery and insurance for the entire value of the shipment. Customer agrees to bear all shipping charges and all risk of loss for the return product during shipment. Customer agrees that all returned products will be 100% complete, in re-saleable condition, and will include the original packaging material, manuals, blank warranty cards, and other accessories provided by the manufacturer. If any component of the returned product is missing, SFXAUDIO.COM's Return Procedure will be breached and SFXAUDIO.COM will reject the entire return or may choose to impose additional charges against the customer for replacement of the missing component(s).
Any item returned as defective and found to be in working order will either be returned to the customer with a 5% service charge or will be refunded or exchanged less a 15% service charge, at the discretion of the customer.
SFXAUDIO.COM will not refund to Customer the original shipping charges (if any).
Shipping Policy
Orders received by 11:00 am Mountain Time Monday through Friday will be shipped the same day. Orders received after 11:00 am will be shipped the next business day. Overnight/2nd day shipping does not apply to Saturdays and Sundays. In the event that extra postage is required for orders that are excessively heavy or delivered to a location which requires a surcharge, the customer shall be notified of the excess charge and the customer must approve this charge before shipment will be sent. In the event that a package exceeds UPS measurement/weight requirements when EXPRESS shipping is requested, order will be shipped via Ground UPS, and charges for Express shipping will be refunded.
Liability Disclaimer
SFXAUDIO.COM is a distributor only. Products sold by SFXAUDIO.COM are not manufactured by SFXAUDIO.COM. The products may, however, be covered by each manufacturer's warranty, service, and support policy (if any). SFXAUDIO.COM assigns and passes to the Customer any warranty of the manufacturer, and Customer acknowledges that it shall have recourse only under such warranties and only as against the manufacturer of the products. THE MATERIALS FOUND ON THIS WEBSITE ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY, REPRESENTATION, CONDITION, UNDERTAKING OR TERM OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR A PARTICULAR PURPOSE.
SFXAUDIO.COM FURTHER DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED WITHIN THE MATERIALS. SFXAUDIO.COM MAY MAKE CHANGES TO THE MATERIALS, POLICIES OR OTHER INFORMATION DESCRIBED IN THE MATERIALS, AT ANY TIME WITHOUT NOTICE. IN ALL CIRCUMSTANCES Sound FX AUDIO'S MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS SOLD. SFXAUDIO.COM SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. SFXAUDIO.COM SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE CUSTOMER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT SFXAUDIO.COM IS APPRISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.
Typographical Errors
In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, SFXAUDIO.COM shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. SFXAUDIO.COM shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, SFXAUDIO.COM shall immediately issue a credit to your credit card account in the amount of the charge.
Order Acceptance Policy
Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. SFXAUDIO.COM reserves the right at any time after receipt of your order to accept or decline your order for any reason. SFXAUDIO.COM reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. All orders placed over $2000.00 (U.S.) must obtain pre-approval with an acceptable method of payment, as established by our credit and fraud avoidance department. We may require additional verifications or information before accepting any order.
SFXAUDIO.COM is a reseller to end user customers and does not accept orders from computer dealers, exporters, wholesalers, or other customers who intend to resell the products offered by SFXAUDIO.COM.
Sales Tax
SFXAUDIO.COM shall automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within Utah. Each customer shall be solely responsible for all sales taxes, or other taxes, on orders shipped to any other state.
Governing Law and Jurisdiction
Any dispute arising out of or related to these Terms and Conditions or the sales transaction between SFXAUDIO.COM and Customer shall be governed by the laws of the State of Utah, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. SFXAUDIO.COM and Customer consent to the exclusive jurisdiction and the venue of the State Courts of the State of Utah, Salt Lake County, to resolve any dispute between them related hereto, and the parties waive all rights to contest this exclusive jurisdiction and venue of such Courts.
Finally, the Customer also agrees not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against SFXAUDIO.COM that is more than one year after the date of the applicable invoice.
Severability
If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Utah law.
Entire Agreement
These terms and conditions, together with SFXAUDIO.COM's invoice respecting the products ordered by Customer, are the complete and exclusive agreement between SFXAUDIO.COM and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between SFXAUDIO.COM and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
